Terms and Conditions for Andrew White Consulting LLC
Welcome to Andrew White Consulting LLC. These Terms and Conditions ("Terms") govern your use of our executive coaching, marketing consulting services, business advisement, and our white-labeled CRM platform ("Services"). By engaging with our services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.
1. Introduction
Andrew White Consulting LLC ("Company," "we," "us," or "our") provides executive coaching, marketing consulting, business advisement, and a white-labeled CRM platform to clients ("Client," "you," or "your"). These Terms outline the rules and regulations for using our Services.
2. Services Provided
2.1 Executive Coaching and Marketing Consulting: Our services include executive coaching to enhance leadership skills and marketing consulting to improve business strategies.
2.2 Business Advisement as a Channel Partner: In partnership with a Texas-based Professional Employment Organization (PEO), we provide a range of business services, including:
Time Saving Technology
Payroll
Human Resources (HR)
Benefits Administration
Compliance
Safety & Insurance
2.3 White-Labeled CRM: Our CRM platform allows clients to manage customer relationships, marketing efforts, invoicing, and payments. This platform is provided under the Company’s branding but operated by the Client.
3. Acceptance of Terms
By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. We reserve the right to update or change these Terms at any time, and your continued use of the Services signifies your acceptance of any such modifications.
4. Use of Services
4.1 Eligibility: You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement.
4.2 Account Registration: To use the CRM platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4.3 Confidentiality: You agree to maintain the confidentiality of your account credentials and are fully responsible for all activities that occur under your account.
5. Service Terms
5.1 Executive Coaching and Consulting: Our coaching and consulting services are tailored to your specific needs. We make no guarantees regarding the outcome or results of these services.
5.2 Business Advisement Services: As a channel partner with a Texas-based PEO, we provide comprehensive business services designed to streamline your operations and improve efficiency. We make no guarantees regarding the outcome or results of these services.
5.3 CRM Usage: The CRM platform is provided "as is" without warranties of any kind, either express or implied. The Company does not guarantee that the CRM will be error-free, secure, or uninterrupted.
5.4 Data Security: While we take reasonable measures to protect your data, you understand that the security of data transmitted over the internet cannot be guaranteed. The Company is not responsible for any unauthorized access to or alteration of your data.
6. Payment and Fees
6.1 Fees: You agree to pay all fees associated with the Services in accordance with the payment terms provided at the time of purchase.
6.2 Invoicing and Payments: For clients using our CRM for invoicing and payments, the accuracy and legality of such transactions are your responsibility. The Company is not liable for any issues arising from the invoicing and payment tracking features of the CRM.
7. Intellectual Property
7.1 Ownership: All content and materials provided through our Services, including but not limited to text, graphics, logos, and software, are the property of Andrew White Consulting LLC or its licensors.
7.2 License: We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal and business purposes, subject to these Terms.
8. Limitation of Liability
To the maximum extent permitted by law, Andrew White Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services.
9. Indemnification
You agree to indemnify and hold harmless Andrew White Consulting LLC, its affiliates, and their respective officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
10. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
12. Dispute Resolution
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in The Woodlands, TX, in English, in accordance with the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc., by one commercial arbitrator with substantial experience in resolving complex commercial contract disputes.
